Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On January 25, 2022, Orion Group Holdings, Inc. (the "Company") announced effective January 21, 2022, the appointment of Quentin P. Smith, Jr. as a new member of the Board of Directors, and, the retirement, effective May 20, 2022, of Richard L. Daerr, Jr. as a board member. With the timing of the appointment of Mr. Smith and Mr. Daerr's retirement, the Company's Board of Directors will temporarily expand from seven (7) to eight (8) members.
