Legrand and Cogelec announce the conclusion of an agreement for the acquisition of the latter by the former, in a transaction that values the French access control specialist at approximately €254m (excluding treasury shares).More specifically, Legrand has signed a purchase agreement, subject to exclusivity, for the acquisition of 5,347,065 Cogelec shares, representing 60.09% of the share capital and 78.39% of the voting rights, based on a price of €29 per Cogelec share.The acquisition of this controlling interest will be subject to the signing of the final agreement and to customary conditions precedent, it being specified that the only regulatory condition will be the approval of the French Competition Authority.
