Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

PVH Corp. (the "Company") announced on October 21, 2021 that Emanuel Chirico, the Company's Chairman of the Board of Directors (the "Board"), will retire from the Board effective December 31, 2021.

Item 8.01. Other Events.

The Company issued a press release on October 21, 2021 announcing that Henry Nasella, who joined the Board in 2003 and has been serving as the Company's Presiding Director since 2007, will become the independent Chairman of the Board effective December 31, 2021.
