Our corporate responsibility strategy is guided by a clear and robust governance framework that brings together the board's Nominating and Governance Committee (NGC), Corporate Responsibility Council (CRC), and prominent senior leaders. The NGC oversees our corporate responsibility work, collaborates with our president and chief executive officer (who also serves on our board) and with the executive chair to discuss business and sustainability topics, and provides quarterly updates to the full board. The CRC, led by our chief administrative officer, supports the NGC and ensures our corporate responsibility initiatives align with our core business goals.
To inform our report, we completed a double materiality assessment in 2024 with a third-party advisor. We evaluated 26 sustainability topics selected through analysis of our business priorities, peer benchmarks, and leading disclosure frameworks, including the Sustainability Accounting Standards Board (SASB) and the Global Reporting Initiative (GRI) Standards. We then prioritized the topics through two lenses: (i) potential impact on Tyler's financial performance and (ii) Tyler's impact on people and the environment.
As part of the assessment process, we received active participation from more than 60 internal and external stakeholders, including team members, corporate officers, directors, investors, suppliers, clients, and business partners. Through surveys and interviews, we gathered unique perspectives on financial and sustainability risks and opportunities relevant to our business. We also conducted a peer benchmarking assessment and reviewed our results against criteria used by third-party rating and ranking organizations. We shared these results with our board to validate the findings and align the topics with our business objectives.
Our participating stakeholders expressed strong support for advancing the wellbeing of our team members, maintaining comprehensive governance and oversight, and continuing to reduce our environmental impacts. The final materiality topics are summarized below.

Advancing Public Administration and Connected Communities
Tyler's Priority Based Budgeting solution leverages AI to analyze financial data and community input so that agencies can align spending with what matters most to its residents. In Collier County, Florida, the solution helped identify that approximately 22% of its more than $670 million operating budget could be reallocated to top local priorities. By shifting from manual, subjective practices to a data-driven, goal-oriented framework, the county pursued savings and empowered local staff to reimagine long-standing practices and strengthen fiscal responsibility.
In March 2025, Tyler and the New Jersey Division of Taxation launched a property tax solution that gives residents a single application for three major property tax relief programs. The solution simplifies reimbursement filings for eligible applicants, improves efficiency, and makes the experience easier to navigate. It also builds on Tyler's long partnership with the state of New Jersey, where Tyler has been providing digital solutions since 2009.

Improving Student Transportation
In September 2025, Tyler's My Ride K-12 mobile app surpassed one million users, underscoring the its impact as a leading school transportation solution provider for districts and families. Paired with push notifications, the new Arrival Board - which shows real-time bus locations on a districtwide map - makes it easier for schools to keep families informed, reduces calls to transportation departments and helps parents know where buses are and when to expect them. Since the start of the 2025-26 school year, more than 359,000 new students have been supported by the app, highlighting the community's growing trust in Tyler's student transportation solutions.
Comstock Park Public Schools in Michigan adopted Tyler Drive tablets and the My Ride K-12 app for the 2025 school year to support its local transportation department. Buses now use the Tyler Drive tablets, which display turn-by-turn directions and GPS tracking, rider identity verification, and generate paperless record keeping for vehicle inspections. The tablets integrate with the My Ride K-12 app, providing estimates of bus arrival times, push notifications to parents about bus status, and secure monitoring of student pick-up and drop-off with safety features to ensure personal information protection. "It gives you a lot of peace of mind," said one of the parents using the new app.

Enhancing Health and Human Services
Tyler partnered with the Mississippi Attorney General's Office to launch AGO in Action, an integrated mobile app that strengthens public safety and fraud prevention outreach. The app acts as a one-stop resource where residents can find free, life-saving medication for opioid-related emergencies, report robocalls and scams, and learn about consumer protection, domestic violence, and human trafficking issues. It also highlights the Office's initiatives, training opportunities, and events, giving people quick access to timely updates and resources that support community well-being.

Supporting Justice and Public Safety
In Tarrant County, Texas, court clerks are leading digital innovation. To manage rapid growth in court filings, the Tarrant County Clerk's Office adopted Document Automation, an AI-powered document automation tool that integrates with existing systems. The automation agent was trained to follow office procedures and align with operational needs, and resulted in faster document processing and quicker case resolution. As a result, the 48-hour intake period of a court filing was reduced to minutes, improving services for residents and enabling staff to focus on higher-value tasks.
In Palm Beach County, Florida, Tyler's document automation software has been supporting the county since 2017. The software uses deep learning algorithms to automate electronic filings, improve accuracy, reduce paper waste, and boost judicial efficiency, delivering approximately $1.9 million in annual savings for the county.
With the rollout of the National Emergency Response Information System (NERIS), a modern, cloud-based data system for fire and emergency services, states must adopt the new platform before the legacy system is retired in 2026. As Delaware prepared for the shift, the state relied on its 40-year partnership with Tyler to unify existing public safety systems into a single cloud-native platform. The transition not only helped Delaware meet federal standards but also improved efficiency and scalability. By adopting the integrated platform, state safety departments were able to streamline data collection, reduce administrative burdens, and eliminate the need for costly on-premise upgrades.

Transforming Technology and Digital Infrastructure
Tyler and the Kansas Bureau of Investigation (KBI) partnered to improve how America's Missing: Broadcast Emergency Response (AMBER) Alerts are issued in child abduction cases by enhancing the Integrated Public Alert and Warning System (IPAWS). The enhancement streamlines alert entry and authentication for authorized agencies through the IPAWS application programming interface (API). With this upgrade, KBI can distribute alerts more quickly across existing emergency channels to cellphones, radios, TVs, and other networks, helping critical information reach the public fast when minutes matter.
Tyler also supported realistic alert scenarios in a nonpublic IPAWS testing environment. This let agencies rehearse end-to-end alert creation and distribution, resolve technical issues, and refine procedures in a safe setting. These exercises improve accuracy and effectiveness before messages reach the public, strengthening the reliability of urgent
safety notifications.

Corporate Governance and Business Ethics
At Tyler, our policies are grounded in responsible, ethical business practices and are reviewed and updated regularly by our legal, compliance, and policy teams to keep pace with evolving regulatory requirements, industry standards, management needs, and stakeholder expectations. Our Code of Business Conduct and Ethics (the "Code") sets clear expectations for upholding the highest standards of ethical conduct at Tyler. It addresses conflicts of interest, anti-harassment and political activities, among other topics. It applies to every team member, including officers, directors, and employees. Each year, every team member reviews and acknowledges our employee handbook, including the Code, and completes required training in anti-harassment, information security, and data privacy. In 2025, team members completed more than 15,000 learning hours for these courses,
with a 98.5% completion rate.
In addition to responsible expense reimbursement and procurement procedures, we maintain a stand-alone Anti-Bribery Policy that guides our anti-corruption practices. The policy aligns with applicable laws and regulations, including the U.S. Foreign Corrupt Practices Act and other international anti-bribery laws that prohibit illicit payments. Our legal team maintains the policy, and our treasury team oversees related controls to prevent and detect suspicious transactions.
We support fair competition and monitor market competition and associated risks. We comply with all applicable antitrust laws and prohibit illegal or anticompetitive practices.
Tyler participates in trade associations to stay current on industry trends and help understand technical standards that support our clients. We do not take an active role in engaging in lobbying to influence government policy. As outlined in our Code, Tyler maintains a long-standing policy prohibiting company political contributions to any political party, committee, or candidate for public office.
Our whistleblowing procedures help ensure accountability and efficiency in reviewing potential misconduct and accounting issues. Team members are encouraged to report potential violations of the Code or other policies, anonymously where permitted by law. We do not tolerate retaliation against anyone submitting a good-faith report. For accounting or auditing matters, any person may anonymously file a report to the Audit Committee through a toll-free hotline or a third-party website, as outlined in our Whistleblower Policy.

Our Human Rights Policy reinforces our commitment to labor rights and worker well-being. We prohibit all forms of discrimination, slavery, human trafficking, forced or compulsory labor and child labor. The policy sets clear requirements for our business partners to respect workers' fundamental rights, including freedom of association, safe working conditions, and fair compensation. Together with our Code of Social Responsibility, our policies guide our labor practices and support compliance with applicable laws and international principles.

We manage risk with rigorous testing, clear policies and ongoing training, supported by controls across our people, processes and technology. Our company-wide Information Security Program is aligned with the National Institute of Standards and Technology (NIST) Cybersecurity Framework (CSF). Dedicated security teams help align our products and operations with applicable regulatory requirements and strictly security standards.
Highlights of our information security and risk management programs include:
We perform regular maturity assessments across our internal systems, cloud platforms, and product development and hosting environments to strengthen risk management strategies. We also complete more than 40 external audits annually. These reviews span a wide range of solutions and operations and help ensure compliance with security standards. Our audits include System and Organization Controls 2 (SOC 2), Payment Card Industry Data Security Standard (PCI-DSS), and Federal Risk and Authorization Management Program (FedRAMP), aligned with client requirements for specific product solutions.
We keep our disaster recovery and incident response programs current with regular updates, annual testing and third-party validation. We continuously strengthen our business continuity strategy to enable rapid recovery of assets, data center infrastructure, technology platforms and solutions after service disruptions.
We offer security training to all team members, perform unannounced security testing, and distribute security alert messages for urgent security threats when necessary.
We use web-filtering, layered system controls, and multifactor authentication to manage and approve system access for all Tyler team members.
Our third-party risk management process includes targeted security risk analyses during vendor onboarding and contract requirements that uphold our security and business ethics standards. We require third parties to follow Tyler policies and procedures for information security, end-user and acceptable- use protocols and business ethics.
We conduct software security assessments throughout the product development and deployment cycle, using tools and controls designed to protect our environment from internal and external threats.
Our security practices are built into daily operations and reinforced by our Security Champions Program. The multiyear program brings together leaders with extensive security knowledge who drive new initiatives, streamline risk management and communication and deliver security training across Tyler. In 2025, the program included 182 champions and focused on strengthening our approach to embedding security strategies throughout the organization. We added Cloud Security and Corporate Development Security Champions to the program to support growing technology and development teams.
In addition to mandatory annual security compliance training for all team members, we launched a voluntary secure development training program in 2025 for more than 2,000 developers and introduced a new monthly Security Spotlight Series for team members:
The voluntary secure development training focused on the top 10 secure coding issues to strengthen the integration of security principles throughout the product development lifecycle. We plan to make the training mandatory for all developers in 2026.
Each month, security leaders and champions hosted a Security Spotlight Series through lunch-and-learn sessions about security trends, recent events and technology. These sessions grew security awareness, promoted knowledge sharing, and drew hundreds of participants each time.
In 2025, our annual security training recorded a 91.5% completion rate, a 3.8% decrease from the prior year due to a shift in compliance training priorities. We have since realigned program ownership to improve the completion rate and keep the annual requirement on track.
During our 2025 Cybersecurity Awareness Month campaign, we delivered weekly training sessions and interactive assignments on spotting phishing attempts, Responsible AI, cloud security best practices, and data governance strategies. Participation in the campaign rose 8.5%, and completions increased more than 20%. We will continue to build engagement with more interactive events in the year ahead.
