Item 5.02 Departure of Directors or Certain Officers; Election of Directors;

On September 27, 2022, Ronald A. Walko, a director of Penns Woods Bancorp, Inc. (the "Company") and its wholly owned subsidiary, Jersey Shore State Bank (the "Bank"), resigned as a director of the Company and the Bank in accordance with the Company's mandatory director retirement bylaw, which requires a director to resign upon attaining age 76.
