Kimberly-Clark's Kenvue acquisition clears Indian antitrust review

The consolidation of two major consumer health and personal care businesses is moving closer to completion after India's Competition Commission of India (CCI) cleared Kimberly-Clark Corporation's(NYSE:KMB) acquisition of sole control over Kenvue Inc.(NYSE:KVUE), pursuant to an Agreement and Plan of Merger signed on November 2, 2025.

According to a press release by the CCI, the transaction brings together two businesses with partially overlapping Indian footprints in feminine hygiene and baby care, the segments where regulatory scrutiny of competitive effects is most directly relevant to the domestic market.

Kimberly-Clark's Indian operations are concentrated in feminine hygiene products and baby diapers, while Kenvue's broader portfolio spans non-prescription medicines, oral care, digestive health, skin health and beauty, sun protection, baby toiletries and feminine hygiene, giving the combined entity a considerably wider presence across pharmacy and modern trade channels than either company currently commands independently.

Globally, Kimberly-Clark operates across baby and child care, adult care, feminine care, family care and professional segments, deploying advanced fibre, nonwoven and absorbency technologies across personal, commercial and industrial applications.

Kenvue, which was spun out of Johnson and Johnson in 2023, operates across self-care, skin health and beauty, and essential health categories in markets worldwide.

The CCI clearance removes a key jurisdictional condition for deal completion in a market where both companies have active distribution and brand presence.
