Item 2.02. Results of Operations and Financial Condition. On January 26, 2022, United Rentals, Inc. (the "Company") issued a press release reporting its results of operations for the quarter and year ended December 31, 2021. A copy of the press release is being furnished with this report as Exhibit 99.1.

Item 8.01. Other Events. On January 26, 2022, the Company announced a new $1 billion share repurchase program, which is expected to commence in the first quarter of 2022 and be completed in 2022. This program replaces the Company's prior $500 million program which was paused in March 2020 due to the COVID-19 pandemic.
