Goodwin is advising a consortium of investment funds advised by affiliates of Tinicum Incorporated and Blackstone Inc., on the debt financing and structuring aspects of its £1.275 billion recommended offer for Senior plc.

Senior plc is a FTSE 250 listed, international engineering solutions provider, designing and manufacturing high technology components and systems for the aerospace, defence, land vehicle, and power and energy markets.

The recommended offer is a high-profile UK public-to-private transaction in the defence and aerospace sector, reflecting continued sponsor interest in UK listed businesses with strong underlying fundamentals and long-term growth potential. The transaction remains subject to the satisfaction of various conditions, including shareholder approval and regulatory clearances.

“We are delighted to advise Tinicum and Blackstone on another landmark public M&A transaction, as we continue to build on our strong track record of delivering cross-border debt finance advice to our sponsor clients,” said Tom Roberts, partner at Goodwin.

The Goodwin team is being led by debt finance partners Jennifer Bralower and Tom Roberts, with support from a core team, which includes corporate partners Chris Wilson, Peter Hanoian and Lindsay Reed, capital markets partner John Servidio, and tax partners Steve Clemens and Dulcie Daly.
