Visionary : Notice on Postponement of the 2026 Extraordinary General Meeting

Dear Shareholders,

Visionary Holdings Inc. was originally scheduled to hold the 2026 Extraordinary General Meeting at 10:00 a.m. Eastern Time on April 27, 2026. Due to overall arrangement requirements for relevant preparatory work, upon deliberation and resolution by the Board of Directors of the Company, the holding time of the aforesaid extraordinary general meeting is hereby postponed.

The revised meeting time is 10:00 a.m. Eastern Time on May 28, 2026. All other arrangements including meeting form, discussion agenda and participation procedures shall remain unchanged, and no further separate notice will be issued.

We sincerely apologize for any inconvenience caused by the meeting postponement.
