On Friday, October 22, 2021, Bank of the James Financial Group, Inc. (the "Company") issued a press release announcing financial results for the quarter and year-to-date periods ended September 30, 2021 (the "Press Release"). A copy of the Press Release is attached hereto as Exhibit 99.1.

Item 8.01 - Other Events

On October 19, 2021, the Board of Directors of the Company declared a quarterly cash dividend of $0.07 per share of common stock. The dividend will be paid on or about December 10, 2021, to stockholders of record as of the close of business on November 26, 2021. The Company announced the declaration of the dividend in the Press Release, a copy of which is attached hereto as Exhibit 99.1.
