Item 5.02 Departure of Directors or Certain Officers; Election of Directors;

On October 4, 2021, the Company appointed Michael Rinaldo as the Company's Principal Accounting Officer.

Mr. Rinaldo, 50, a certified public accountant, has more than 25 years of accounting and finance experience. Prior to joining the Company, Mr. Rinaldo was Vice President, Controller and the Principal Accounting Officer of Tiffany & Co. ("Tiffany"), which he joined in June 2017. Prior to joining Tiffany, Mr. Rinaldo served as Vice President & Controller at Vince Holding Corp. ("Vince") from April 2016 to May 2017 and prior to joining Vince, Mr. Rinaldo held positions of increasing responsibility at Kate Spade & Company (formerly, Liz Claiborne, Inc.) from 2007 until 2016, including the position of Vice President, Controller and Chief Accounting Officer from 2012 to 2016.
