Declaration of principles with regard to respect for human rights

Introduction

Blue Cap's business activities are based on the firm belief that lasting value can only be created if economic, ecological and social effects and goals are considered from a holistic perspective. This principle applies both to Blue Cap AG and to its subsidiaries.

Especially the protection of workers' rights and health and safety at work are essential, particularly in the manufacturing and producing industries. These aspects must be considered at every stage of the value chain to prevent possible negative consequences (inside-out). For their economic success, the portfolio companies and the holding company are heavily dependent on the availability of qualified employees. Consequently, the attractiveness as an employer and the continuous training and further education are crucial for the sustainable development of Blue Cap AG and its affiliates (outside-in).

For this reason, Blue Cap AG has established the key competence "People & Culture" at the corporate level as an independent pillar and firmly anchored it in the corporate structure. It is our goal to develop both each portfolio company and the holding company into attractive employers with an open approach to ecological and social transformation.

We are committed to protecting human rights and the environment, both in our own operations and in collaboration with our suppliers. In accordance with the German Supply Chain Due Diligence Act (LkSG), we have created this declaration of principles to affirm our commitment to human rights and the environment and to outline our approach to managing related risks, both internally and in our work with suppliers.

This declaration of principles sets out our guidelines and describes how we implement the law in practice. It describes our risk management process, our complaints procedure and our commitment to continuous improvement. While we play an important role ourselves, we expect our relevant business partners to also commit to respecting human rights, to set up appropriate due diligence processes and to pass these requirements on to their own partners.

International standards and guidelines

Blue Cap AG ensures compliance with local legislation and adheres to international standards and guidelines to protect people and the environment. We base our approach and human rights due diligence processes on the following international reference instruments:

Version 1.0

Responsibility

We understand the importance of clearly defined roles and rights to effectively implement the German Supply Chain Due Diligence Act (LkSG). Consequently, we have appointed a Human Rights Officer to oversee the implementation of the legal requirements.

Furthermore, the board recognizes the importance of corporate sustainability in the sense of the economic, ecological and social responsibility of Blue Cap AG and is regularly informed about the implementation of due diligence.

We expect our employees and business partners to comply with relevant legislation, respect fundamental human rights and environmental standards, and to work within their capabilities to support them. This applies in particular to the risks identified within the scope of our risk analysis. Should they not see any suitable options for action in the event of violations, we encourage them to use the complaints mechanism described in this document.

Application of the German Supply Chain Due Diligence Act (LkSG)

To actively promote compliance with our human rights and environmental due diligence obligations, we are taking the following measures:

Risk analysis, Section 5 of the LkSG

As part of our risk management, we conduct both regular and situational risk assessments in accordance with Section 3 and Section 5 of the LkSG. Once risks are identified, they are prioritized and addressed based on their potential impact on stakeholders, their likelihood of occurrence, and the possibility of their reversibility. Based on our analyses, we consider the potential disregard of occupational safety measures and work-related health hazards to be particularly relevant.

Preventive measures, Section 6 of the LkSG

Once we have identified and prioritized risks, we define the measures needed to minimize these prioritized risks. We proactively inform and involve the stakeholders who are considered crucial to the implementation of the measures. Internally, we communicate our expectations clearly and continuously to employees and work to quickly eliminate any risks that have been identified.

We also inform our suppliers about our expectations regarding their involvement in the prevention of risks related to human rights and the environment. We ensure that they understand these expectations and commit to collaborating. We regularly monitor and evaluate the effectiveness of our preventive measures in order to identify and continuously implement possible improvements.

Version 1.0

Complaints procedure, Sections 8 to 9 of the LkSG

We have implemented a complaints procedure to enable those directly and indirectly affected to provide us with information on risks related to human rights and environmental protection in our own business activities and in our supply chains. Furthermore, the insights gained from the complaints procedure ensure a continuous learning process regarding the responsibility of Blue Cap AG with regard to respect for human and environmental rights. In the design and application of the procedure, we place particular emphasis on the following characteristics:
