Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment

On January 24, 2022, Ronald G. Geary notified the Board of Directors of Sabra Health Care REIT, Inc. ("Sabra" or the "Company") of his resignation from Sabra's Board of Directors, effective immediately. Mr. Geary's resignation is for health reasons and does not relate to any disagreement on matters relating to the Company's operations, policies or practices or any other matter. On behalf of the Board of Directors, Richard K. Matros, the Company's Chair and Chief Executive Officer, thanked Mr. Geary for his dedicated and thoughtful service to the Board.
