WEX Inc Urges Shareholders to Vote for Its Nominees and Reject Impactive Capital?s Board Candidates at 2026 Annual Meeting

On April 22, 2026, WEX Inc. issued a press release and letter to shareholders in connection with its upcoming 2026 Annual Meeting of Stockholders, scheduled for May 5, 2026. The Company highlighted its strong performance, accelerating momentum, and improved financial outlook for 2026, noting record revenue and net income per share in 2025, as well as continued growth across all business segments. Despite these achievements and a nearly 50% increase in stock price over the past year, Impactive Capital Master Fund LP is seeking to replace a third of WEX?s directors, including the Chair and CEO and the Chairs of two key committees, by nominating its own candidates.

WEX?s Board opposes Impactive?s nominees, specifically raising concerns about Ms. Taylor Wolfe?s candidacy due to alleged conflicts of interest and conduct issues. The Company urges shareholders to vote ?FOR? ONLY WEX?s nominees on the BLUE proxy card, emphasizing that electing Impactive?s candidates would risk disrupting the Company?s momentum and result in the loss of valuable expertise.
