UNITE HERE Urges PENN Shareholders to Support Proposal to Declassify the Board

On April 30, 2026, UNITE HERE urged the shareholders of PENN Entertainment, Inc. to vote for a proposal to declassify the Board of Directors at the Company and transition to annual elections for all directors at the annual general meeting scheduled to be held on June 16, 2026. In addition, UNITE HERE stated that annual elections would strengthen board accountability and responsiveness, support long-term value creation, reduce entrenchment risk, better position PENN during disruption in the gaming industry. Further, UNITE HERE stated that the Company argues that regulatory complexity makes annual elections difficult, UNITE HERE counters this by citing peer gaming companies that operate under similarly strict gaming regulations, maintain annual director elections successfully.

Furthermore, UNITE HERE concludes that declassification is overdue and urged the Company shareholders to vote for the proposal at the annual meeting.
