On October 20, 2021, holders of Class B Stock of Gencor Industries, Inc. (the "Company"), by majority written consent, removed James P. Sharp, without cause, as a director from the Board of Directors of the Company (the "Board"). The Board has not yet filled the vacancy created by Mr. Sharp's departure.
