The Company has in place a director resignation provision that provides the Board of Directors post-election discretion to determine whether to accept or reject the resignation of an incumbent director who fails to be reelected. Does the provision undermine the voting rights of shareholders by allowing the Board to have the final say on the unelected director's status?

The Board has adopted a Corporate Governance Guideline to ensure that the shareholders' voice is implemented. Pursuant to the Company's Corporate Governance Guidelines, if an incumbent director fails to be elected in an uncontested election, the Board will not nominate such person to be a candidate for election as a director at the next annual shareholder meeting, regardless of whether the Board accepts or rejects the resignation.

Tariffs continue to be an evolving situation. On our Q1 2025 earnings call we noted that tariffs represented a $60-$80 million dollar headwind to operating profit in 2025 and that we expect to fully offset that headwind through a combination of the weaking of the US dollar, shifts in discretionary spending and other operational strategies that our team is undertaking.
