Item 2.01. Completion of Acquisition or Disposition of Assets.

On October 18, 2021, Patriot Transportation Holding, Inc. (the "Company") completed its previously announced disposition of the Company's terminal located in Tampa, Florida to Amazon.com Services LLC for a sale price of $9,600,000. The Company anticipates that the sale will result in an after-tax gain of approximately $6,226,000.
