ADF GROUP INC. ANNOUNCES THE RESULTS OF THE ELECTION OF DIRECTORS

TERREBONNE - ADF GROUP INC. ('ADF' or the 'Corporation') (TSX: DRX) announced the results of the election of directors following its annual meeting of shareholders held on June 10, 2025.

Each of the nominees proposed as directors in the management proxy circular dated April 14, 2025 was elected as a director of ADF Group Inc. by a majority of the votes cast by all shareholders entitled to vote by secret ballot.

A total of 3,142,112 Subordinate Voting Shares (approximately 18.87% of the class) and 12,076,818 Multiple Voting Shares (approximately 100% of the class, excluding fractional shares) were represented in person or by proxy at the Meeting, representing a combined aggregate of approximately 90.17% of the voting rights attached to all issued and outstanding Shares as at April 14, 2025, reference date.
